Terms of Service

These Terms of Service ("Terms") govern the relationship, quotation process, and commercial agreements between Neximos s.r.o.("Neximos", "we", "us", or "our") and business buyers, procurement professionals, and engineering customers ("Customer", "you", or "your") ordering custom CNC machined parts and related manufacturing services. By requesting a quote or submitting a purchase order, you agree to these Terms in full.
1. Scope and Contractual Partnership
Neximos operates as a professional manufacturing partner. We contract with the Customer directly, take full responsibility for order fulfillment, customer support, quality assurance, and billing, and execute production through our certified Slovak CNC manufacturing facilities under strict confidentiality agreements. All agreements, orders, and rework requests are managed solely between Neximos and the Customer.
2. Request for Quote (RFQ) and Quotation Process
To receive a quotation, Customers must upload their technical files (3D CAD designs like STEP/IGES, and optionally 2D PDF drawings specifying tolerances, finishes, and threads).
- Quote Validity: All issued quotes are valid for **14 calendar days** from the date of issue unless otherwise specified.
- Response SLA: We strive to provide manual, engineer-reviewed quotes within **24 hours on business days**.
- Order Confirmation: A contract is formed only when we issue a formal Order Confirmation email following the Customer's purchase order (PO) or payment.
3. Quality Guarantee and Rework Policy
Neximos is fully committed to delivering parts that match your exact specifications.
- Tolerances: Parts are manufactured to the specific tolerances noted on the Customer's technical drawings. Where no drawing is provided, ISO 2768-m (medium) is applied by default.
- Quality Verification: Every order undergoes dimensional and surface inspection before leaving our facility. Inspection reports (including CMM measurements) and material certificates (EN 10204 3.1) are available upon request before production starts.
- Defect Claims: The Customer must inspect parts upon delivery and report any dimensional or surface defects within **14 calendar days** of receipt.
- Rework/Replacement: If parts are found to deviate from the agreed specifications, Neximos will, at its own cost, either rework the non-conforming parts, manufacture replacements, or issue a credit note.
4. Intellectual Property and Confidentiality
All uploaded 3D models, 2D drawings, assembly plans, and technical specifications are treated as strictly confidential. Neximos guarantees that your designs will be used solely for the purpose of preparing quotes and executing your orders. Technical files are only shared with our production teams under strict non-disclosure agreements (NDAs). Neximos claims no ownership rights over Customer designs, proprietary details, or intellectual property.
5. Invoicing and Payment Terms
All prices are quoted in EUR (€) and exclude value-added tax (VAT) where applicable.
- Payment Method: We accept payments via bank transfer (SEPA) and standard EU invoicing.
- New Customers: Orders from new customers require 100% advance payment or a 50% deposit before production begins, at Neximos's discretion.
- Established Customers: NET 30 invoicing terms may be requested after the third successfully completed order, subject to credit approval.
6. Shipping, Delivery, and Transfer of Risk
Unless otherwise agreed, shipping is executed under **DAP (Delivered at Place - Incoterms 2020)**. Neximos handles packaging and tracked shipment through premium carrier partners (DPD, DHL, GLS, UPS). Risk of loss or damage transfers to the Customer once the package is delivered to the designated shipping address. Production timelines and shipping dates are estimates and begin only after technical details are finalized and advance payments are received.
7. Limitation of Liability
Neximos is not liable for indirect, incidental, special, or consequential damages (including loss of profits, production downtime, or assembly delays) resulting from late delivery or defective components. In all circumstances, Neximos's maximum aggregate liability under any order is strictly capped at the total amount paid by the Customer for that specific order.
8. Governing Law and Jurisdiction
These Terms and all commercial contracts are governed by and construed in accordance with the laws of the **Slovak Republic**, without reference to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Banská Bystrica, Slovakia.
